SUBJECT:	Second Amendment to Agreement for Prolaw Software	DATE:	12/11/2003

RECOMMENDATION

Adopt a resolution authorizing the City Attorney to negotiate and execute a second amendment to the agreement with West Publishing Corporation dba Prolaw Software to extend the term through June 30, 2004 at no additional cost to the City, and authorizing the City Attorney to negotiate and execute further amendments to the agreement to extend the term at no additional cost, if required.

BACKGROUND

On June 25, 2002, the City entered into an agreement with West Publishing Corporation (doing business as Prolaw Software) to provide legal practice management software, technical consulting, implementation services, training and maintenance for the Office of the City Attorney. The agreement was amended on June 4, 2003, to extend the term through December 30, 2003.

ANALYSIS

In March 2003, the City Attorney’s Office began implementation of the Prolaw legal practice management software, which upgraded claims and litigation case management, and established a centralized system to manage transactional matters, including record and file management. While the software is currently operational, there are outstanding issues that need to be resolved in order for the software to function in accordance with the terms of the agreement. Therefore, the City Attorney’s Office has withheld final payment to the vendor. The agreement must be amended to extend the term to allow the vendor time to resolve the outstanding issues, so that final payment can be made.
